1. Introduction Welcome to the e-Barcs Microfinance Bank Ltd Mobile App (“App”). These terms and conditions (“Terms”) govern your use of the App provided by e-Barcs Microfinance Bank Ltd (“the Bank”, “we”, “us”, or “our”). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.
2. Eligibility You must be at least 18 years old to use this App. By using the App, you represent and warrant that you meet this eligibility requirement.
3. Account Registration To access certain features of the App, you may be required to register for an account. You agree to:
• Provide accurate, current, and complete information during the registration process. • Maintain and promptly update your account information. • Keep your password secure and confidential. • Notify us immediately of any unauthorized use of your account.
4. Use of the App You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:
• Use the App in any way that violates any applicable federal, state, local, or international law or regulation.
• Use the App for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• Transmit, or procure the sending of, any advertising or promotional material without our prior written consent.
• Impersonate or attempt to impersonate the Bank, a Bank employee, another user, or any other person or entity.
• Engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the App, or which, as determined by us, may harm the Bank or users of the App or expose them to liability.
5. Intellectual Property Rights The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Bank, its licensors, or other providers of such material and are protected by the Nigerian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6. 7. Termination We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the App will cease immediately.
8. Limitation of Liability To the fullest extent permitted by applicable law, e-Barcs Microfinance Bank Ltd, its affiliates, licensors, service providers, officers, directors, employees, agents, or contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, computer damage, system failure, or the cost of substitute services, arising out of or in connection with:
• Your use of, or inability to use, the App. • Any conduct or content of any third party on the App. • Any content obtained from the App. • Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not the Bank has been informed of the possibility of such damage.
The Bank’s aggregate liability to you for all claims arising out of or related to these Terms or your use or inability to use the App, whether in contract, tort, or otherwise, is limited to the total amount of the specific transaction that gave rise to the claim.
9. Disclaimer of Warranties The App is provided on an “as is” and “as available” basis. The Bank makes no representations or warranties of any kind, express or implied, as to the operation of the App or the information, content, materials, or products included on the App.
10. Governing Law and Dispute Resolution These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising under or in relation to these Terms shall be resolved exclusively by the courts of Nigeria.
11. Changes to Terms and Conditions We reserve the right to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on the App. You are advised to review these Terms periodically for any changes. Your continued use of the App following the posting of any changes constitutes acceptance of those changes.

INDEMNITY
IN CONSIDERATION of e-Barcs Microfinance Bank Ltd (hereinafter called “the Bank”) agreeing to process transactions initiated by me via the Bank’s Mobile Banking Platform with the sole use of my Personal Identification Number (“PIN”) (hereinafter called “Transactions”), I hereby fully indemnify the Bank, its Directors, agents, privies, assigns, successors, employees, or any other person acting under the Bank’s authority or control against any costs, losses, damages, litigation, action, proceeding, expenses (including Attorney’s fees), judicial awards of any kind, or any payments of whatsoever nature made or any cost incurred, whether directly or indirectly, remotely or otherwise, resulting from the Bank processing such Transactions.
I acknowledge and recognize that my PIN is a final security check for effecting my Transactions on the Bank’s Mobile Banking Platform.
I undertake to be fully and solely responsible for all risks that may arise from the Transactions, as well as any losses which may be suffered by me as a result of any unauthorized transfer of monies or other Transactions in my account due to the use of my PIN on the Bank’s Mobile Banking Platform. The PIN or Token will serve as the default authentication for transaction in the event of failure of my preferred authentication method. Password will serve as the default authentication method for login in the event of failure of my preferred authentication method.
Furthermore, I hereby acknowledge and consent that the Bank will not be liable for any loss, fraudulent, or unauthorized access or transfer of monies that may occur in my account as a result of the Bank processing Transactions consummated on my account through the Bank’s Mobile Banking Platform.
I irrevocably and unconditionally agree that in addition to any general lien or similar right to which the Bank may be entitled by law, the Bank may at any time and without notice to me combine or consolidate all or any of my other deposits and accounts with and liabilities to the Bank in any currency that may be in possession of the Bank and set off or transfer any sum or sums standing to the credit of any one or more of such accounts or deposits in or towards satisfaction of any claim made against the Bank or loss suffered by the Bank as a result of or pursuant to the Bank processing such Transactions.
My obligation herein shall not be reduced by any claim by me against the Bank, its Directors, agents, privies, assigns, successors, employees, or any other person acting under the Bank’s authority.
This Indemnity shall be a continuing obligation in respect of any and all matters connected to or arising from the Bank processing such Transactions. It shall remain valid and in full force from the date of its execution until the Bank issues a letter discharging me from my obligations herein.
This Indemnity shall be construed in accordance with the laws of the Federal Republic of Nigeria.
